Changing an Arkansas Registered Agent or Registered Office (Filed by Entity)

The Notice of Change of Registered Agent, Form DO-03, is the universal entity-filed form used to change a registered agent name, registered agent address, or both. The same form serves all entity types: for-profit corporations, nonprofit corporations, LLCs, limited partnerships, LLPs, LLLPs, general partnerships, and Series LLCs/Protected Series. There is no filing fee for this form, and it is available both online and as a paper filing.

Form Description Filing Fee
Notice of Change of Registered Agent (DO-03) Changes registered agent name, address, or both for any entity type No Fee

Changing an Arkansas Registered Agent’s Own Name or Address (Filed by Agent)

A commercial registered agent that has filed a Commercial Registered Agent Listing Statement with the Secretary of State may update its own name, address, or jurisdiction of organization by filing the Notice of Change of Commercial Registered Agent Information (Form CRA-CF). This single filing updates the agent’s information across all entities the agent represents, provided the agent attaches or includes a list of all affected entities. The agent must promptly furnish each represented entity with notice of the change after filing.

Form Description Filing Fee
Notice of Change of Commercial Registered Agent Information (CRA-CF) Changes a commercial registered agent’s name, address, or jurisdiction across all represented entities No Fee

An agent that is not registered as a commercial registered agent cannot file Form CRA-CF. Instead, each entity the agent represents must file a separate Notice of Change of Registered Agent (DO-03) to update the agent’s information.

Registered Agent Resignation and Rejection Forms in Arkansas

Arkansas does not publish a standalone registered agent resignation PDF form for individual (non-commercial) agents on the Secretary of State’s website. The LLC fee schedule lists “Agent’s statement of resignation” at no fee, and the nonprofit and corporation fee schedules include a corresponding entry, indicating the Secretary of State will accept a resignation filing, but no dedicated form is provided. Commercial registered agents that wish to discontinue serving all represented entities must file the Commercial Registered Agent Termination Statement (Form CRA-TS), which takes effect on the 31st day after filing.

Form Description Filed By Filing Fee
Commercial Registered Agent Termination Statement (CRA-TS) Terminates a commercial registered agent’s listing; effective 31 days after filing Commercial registered agent $50.00

Conversion Forms Requiring Registered Agent Designation in Arkansas

Arkansas uses a universal Articles of Conversion form that applies across entity types, governed by Act 408 of 2009. The form must be filed in conjunction with an initial filing appropriate for the converted entity type (such as a Certificate of Organization for an LLC or Articles of Incorporation for a corporation), meaning the registered agent designation is provided on the accompanying formation document rather than on the Articles of Conversion themselves. The filing fee varies by the type of entity converting to.

Form Description Filing Fee
Articles of Conversion (Art_Conv) Universal conversion form; must be filed with the appropriate formation document for the converted entity type $15.00 (partnership), $25.00 (LLC), $50.00 (corporation)

FAQ

Where can I find all current Arkansas Secretary of State business forms?

All current business entity forms are available on the Arkansas Secretary of State Forms / Fees / Records Requests page. The page is organized by entity type, with separate subpages for Corporations, LLCs, Partnerships, Commercial Registered Agents, Cooperatives, and Miscellaneous Forms (which includes Series LLC and Protected Series forms).

Nonprofit forms are found on a separate Nonprofit / Charitable Entities page. Fee schedule PDFs are available for corporations and partnerships, LLCs, and nonprofits. The Corporations Online Filing System supports electronic filing for many form types.

Is the registered agent consent form required to be filed with the Arkansas Secretary of State?

Arkansas does not have a standalone registered agent consent form that is filed separately with the Secretary of State. For most entity types, registered agent consent is considered given when the authorized person signs the formation or registration document that names the agent.

The one exception is the Appointment of Agent to Receive Service of Process for Nonprofit Association, which contains a dedicated agent acceptance signature block on the same form and is filed with the Secretary of State. For all other entity types, no separate consent document is filed.

What form is used to change a registered agent in Arkansas?

The Notice of Change of Registered Agent (DO-03) is used by an entity to change its registered agent name, registered agent address, or both. The form serves all entity types, including corporations, nonprofits, LLCs, limited partnerships, LLPs, LLLPs, general partnerships, and Series LLCs/Protected Series.

There is no filing fee for Form DO-03. It may be filed online through the Corporations Online Filing System or by mail to the Arkansas Secretary of State, State Capitol, Suite 256, 500 Woodlane Street, Little Rock, AR 72201. Phone: 501-682-3409. Email: corprequest@sos.arkansas.gov.

What is the difference between the entity-filed change form and the agent-filed change form in Arkansas?

The entity-filed form is the Notice of Change of Registered Agent (DO-03), which must be filed individually by each entity that wishes to change its registered agent. Only an authorized officer of the entity may sign and file this form, and each filing covers a single entity.

The agent-filed form is the Notice of Change of Commercial Registered Agent Information (CRA-CF), which is available only to agents that have registered as a commercial registered agent by filing a Commercial Registered Agent Listing Statement (CRA-R). Form CRA-CF allows the commercial registered agent to update its name, address, or jurisdiction in a single filing that applies to all represented entities, provided a list of affected entities is attached.

After filing Form CRA-CF, the commercial registered agent must promptly furnish each represented entity with notice of the change. Both forms are filed at no charge. An agent that is not registered as a commercial registered agent cannot use Form CRA-CF and must instead have each entity file a separate Form DO-03.

Is there a fee to form a nonprofit corporation in Arkansas?

The filing fee for Articles of Incorporation of a domestic nonprofit corporation (Form NPD-01 or NPD-01-501-c-3) is $50.00 by paper or $45.00 online. This is the same fee charged to form a domestic for-profit corporation (Form DN-01).

A foreign nonprofit corporation seeking a Certificate of Authority (Form NPF-1) pays $300.00 by paper or $270.00 online. The complete nonprofit fee schedule is available as a PDF from the Secretary of State.

What forms are used to register an out-of-state LLC in Arkansas?

A foreign LLC registers in Arkansas by filing an Application for Certificate of Registration of Foreign Limited Liability Company (FL-01). The filing fee is $300.00 by paper or $270.00 online. The form requires the name and Arkansas street address of a registered agent.

A foreign Series LLC files a Foreign Series LLC Application at a filing fee of $300.00, and a foreign Protected Series files a Foreign Protected Series Application at a filing fee of $300.00. Each requires a registered agent designation.

What forms are used to form or register a partnership in Arkansas?

A domestic limited partnership is formed by filing a Certificate of Limited Partnership (LP-01) with a $50.00 filing fee. This same form also serves for forming a domestic limited liability limited partnership (LLLP). Both require the name, street address, and mailing address of an initial agent for service of process.

A domestic LLP is created by filing a Statement of Qualification of LLP with a $50.00 filing fee. Unlike the LP certificate, an LLP qualification registers limited liability status for an existing general partnership rather than creating a new entity. The form requires an agent name and Arkansas street address.

A foreign LP registers by filing an Application for Certificate of Authority of Foreign LP (LPF-01) at $300.00. A foreign LLLP files an Application for Certificate of Authority of Foreign LLLP (F3LP-02) at $300.00. A foreign LLP files a Statement of Qualification of Foreign LLP at $300.00. All three require an Arkansas registered agent.

General partnerships are not required to file with the Secretary of State but may optionally file a Statement of Partnership Authority ($50.00 domestic, $300.00 foreign), which includes an agent for service of process.

Can I file Arkansas SOS forms online?

Many Arkansas entity filings can be submitted online through the Corporations Online Filing System. The system supports domestic and foreign LLC formations and registrations, domestic and foreign for-profit corporation filings, nonprofit corporation filings, and several amendment and dissolution forms. Online filing requires payment by credit card.

Online filing fees are discounted compared to paper fees. For example, a domestic LLC Certificate of Organization is $45.00 online versus $50.00 by paper, and a foreign corporation Application for Certificate of Authority is $270.00 online versus $300.00 by paper.

Partnership forms (LP, LLP, LLLP) and benefit corporation forms are generally not available for online filing and must be submitted by paper. The Notice of Change of Registered Agent (DO-03) is available online at no charge. Franchise tax reports and annual reports are filed separately through the Franchise Tax Online System.
